Director of Corporate Securities
Our client, a global company and industry leader specializing in the design, development, manufacturing, distribution and sales of computerized casino gaming machines and systems products, has retained Major, Lindsey & Africa on an exclusive basis to conduct their search for a Director of Corporate Securities. The successful candidate will be an expert at securities law, corporate governance, and SEC regulations as well as corporate stock plans. He/she will be able to thrive in a fast-paced environment, demonstrate excellent judgment and possess high ethical standards. This position will be based in Nevada.
Required experience includes: expertise in corporate securities transactions, corporate governance, stock plans and federal and state securities; substantive expertise in ’34 Act and ’33 Act matters and SOX, M&A and general corporate transactions, and the representation of public companies, either in-house or in a law firm; demonstrated proficiency in establishing and maintaining legal aspects of a securities compliance program; experience with corporate finance including debt restructuring; proven ability to advise senior management and the Board of Directors in connection with federal securities laws.
Qualifications include: JD degree from an ABA accredited law school; 6+ years of experience; admission to one or more state bars and be willing to sit for the Nevada State Bar.
The successful candidate will be required to pass a background check and a drug screening.
